1. Agreement to These Terms

These Terms of Service ("Terms") are a legal agreement between Koarge Inc. ("Koarge," "we," "us," or "our"), a corporation incorporated under the Canada Business Corporations Act, and the individual or entity that registers for or uses the Service ("Merchant," "you," or "your"). By creating an account, indicating acceptance, or accessing or using the Service, you agree to these Terms. If you do not agree, do not use the Service. If you accept on behalf of an organization, you represent that you have authority to bind it.

2. Definitions

"Service" means the Koarge checkout application, plugin and components, merchant dashboard, websites, APIs, and related software and services Koarge makes available.

"Framer" means the third-party website platform on which the Service is installed.

"Stripe" means Stripe, Inc. and its affiliates, the third-party payment provider used to process payments.

"Your Customers" means the shoppers who purchase goods or services from you through the Service.

"Merchant Content" means the products, services, text, images, pricing, and other materials you configure or upload through the Service.

3. Eligibility and Accounts

2.1 You must be at least 18 (or the age of majority in your jurisdiction, if higher) to use the Service.

2.2 You must provide accurate, current, and complete registration information and keep it updated.

2.3 You are responsible for safeguarding your credentials and for all activity under your account, and must notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to secure your credentials.

2.4 You consent to receive communications from us electronically, by email or in-product notice.

4. The Service; Your Own Stripe Account

3.1 The Service lets you add a checkout to your Framer website so you can sell your goods or services and accept payments from Your Customers.

3.2 Koarge is a software provider only. Koarge is not a bank, payment processor, payment facilitator, money services business, money transmitter, or merchant of record, and is not a party to any transaction between you and Your Customers.

3.3 You must maintain your own Stripe account. Payments made through the Service are processed by Stripe directly through your own connected Stripe account. Your use of Stripe is governed by your agreements with Stripe (including the Stripe Services Agreement and Stripe Connected Account Agreement), and you are responsible for complying with them. You authorize Koarge to connect to your Stripe account, through Stripe's authorization flow, solely to provide the Service.

3.4 You are the merchant of record. You are the seller of all goods and services sold through the Service. Proceeds from your sales are settled by Stripe directly to you. Koarge does not receive, hold, escrow, or disburse your sales proceeds at any time.

3.5 Payment card data. Payment card details are collected and processed directly by Stripe. Koarge does not store full payment card numbers.

3.6 Stripe's fees are separate. Stripe charges its own processing fees, set by Stripe and paid by you to Stripe. These are separate from and additional to your Koarge subscription fee. Koarge does not charge a percentage-based platform fee on your sales.

3.7 You are responsible for your transactions. As between you and Koarge, you are solely responsible for your products and services and their fulfillment and delivery, order accuracy, pricing, customer service, and all returns, refunds, cancellations, chargebacks, and disputes with Your Customers. Koarge has no responsibility or liability for any of these.

5. Merchant Responsibilities and Compliance

4.1 Legal compliance. You are responsible for ensuring your use of the Service and your sales comply with all applicable laws, including consumer protection, e-commerce, distance-selling, advertising, product-safety, and export laws.

4.2 Taxes. You are solely responsible for determining, collecting, reporting, and remitting all taxes arising from your sales (including sales tax, GST/HST, PST/RST, and VAT). Koarge does not calculate, collect, or remit taxes on your behalf unless expressly stated; any tax features are tools only.

4.3 Your own customer terms. You are responsible for your own agreements with Your Customers — including your terms of sale, refund/return policy, shipping policy, and privacy policy — and for all legally required disclosures to them.

4.4 Data and consent. You are responsible for obtaining all consents and providing all notices required for personal information you collect from Your Customers through the Service. As between the parties, you are the controller of Your Customers' personal information, and Koarge processes it on your behalf as described in the Privacy Policy.

4.5 Accurate content. Your Merchant Content must be accurate and not misleading, and you must hold all rights necessary to offer it.

6. Acceptable Use; Prohibited Activities

5.1 You will not use the Service to sell, promote, or facilitate anything illegal, fraudulent, or deceptive, or that violates the rights of others or Stripe's restricted-business and prohibited-use policies.

5.2 Prohibited activities include, without limitation: illegal goods or services; counterfeit or IP-infringing goods; regulated products you are not authorized to sell or that are prohibited where you operate (for example firearms, ammunition, controlled substances, tobacco, alcohol, or adult content); fraud, money laundering, or deceptive schemes; malware or harmful code; infringing, defamatory, obscene, or hateful content; interfering with or attacking the Service or others' systems; providing false information; or attempting to circumvent Service limits.

5.3 You will not copy, modify, reverse engineer, decompile, resell, sublicense, or create derivative works from the Service, except where such restriction is prohibited by law.

5.4 We may investigate suspected violations, cooperate with law enforcement, and suspend or terminate violating accounts with or without notice.

7. Subscription, Fees, Billing, and Cancellation

6.1 Plans and fees. The Service is offered on the subscription plans described on our pricing page. Fees are exclusive of applicable taxes, for which you are responsible.

6.2 Free trial. Where a free trial is offered, your paid subscription and billing begin at the end of the trial unless you cancel beforehand.

6.3 Founding pricing. Where founding or promotional pricing is offered, the applicable terms (including any "locked" rate) are as described at sign-up.

6.4 Renewal. Subscriptions automatically renew for successive periods until cancelled. You authorize us and our payment processor to charge your payment method on each renewal.

6.5 Payment method. You must provide and maintain a valid payment method. If a charge fails, we may retry and may suspend the Service until payment is received.

6.6 Price changes. We may change fees for new subscribers at any time, and for existing subscribers on at least 30 days' notice, except that founding/locked rates are honored as described.

6.7 Refunds. Fees are non-refundable except where required by law.

6.8 Cancellation. You may cancel at any time from your dashboard or by emailing hello@koarge.com. Cancellation takes effect at the end of the current billing period; you remain responsible for fees accrued through that period, and partial periods are not refunded. On cancellation or termination, your access ends and your data may be deleted after the retention period in the Privacy Policy.

8. Beta and Upcoming Features

Some features may be labeled beta, preview, or "coming soon." They are provided "as is," may change or be discontinued, and may not be available at launch. Descriptions of planned features (such as physical-product support, live carrier shipping rates, customer accounts, and order history) are not commitments and are subject to change.

9. Intellectual Property; License

8.1 Koarge IP. Koarge and its licensors own all rights in the Service and related software, technology, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service during your subscription, solely as permitted by these Terms.

8.2 Your content and data. You retain all rights in your Merchant Content and data, and grant Koarge a non-exclusive license to host, process, transmit, and display them as needed to provide and improve the Service.

8.3 Feedback. If you give us feedback or suggestions, we may use them without restriction or obligation.

10. Third-Party Services

The Service relies on and integrates with third-party services, including Stripe and Framer, whose use is governed by their own terms. Koarge is not responsible for third-party services, and their changes or availability may affect the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOARGE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. KOARGE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT IT WILL MEET YOUR REQUIREMENTS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOARGE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS, ARISING OUT OF OR RELATING TO THE SERVICE. KOARGE'S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID KOARGE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

13. Indemnification

You will indemnify, defend, and hold harmless Koarge and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Service; (b) your products, services, and transactions with Your Customers; (c) your Merchant Content; (d) your violation of these Terms or applicable law; or (e) your violation of any third-party rights.

14. Suspension and Termination

13.1 You may stop using and cancel the Service at any time under Section 6.

13.2 We may suspend or terminate your access, with or without notice, if you breach these Terms, fail to pay, create risk or legal exposure, or where required by a third-party provider or law.

13.3 On termination, your license ends and you must stop using the Service. Provisions that by their nature should survive (including Sections 3, 4, 8, 10, 11, 12, and 14) survive termination.

15. Governing Law and Disputes

14.1 These Terms are governed by the laws of the Province of Manitoba and the federal laws of Canada applicable therein, without regard to conflict-of-laws rules.

14.2 The courts located in Manitoba have exclusive jurisdiction over any dispute, and you consent to their jurisdiction and venue.

14.3 To the extent permitted by law, each party waives participation in class proceedings.

16. Changes to These Terms

We may update these Terms from time to time. For material changes we will provide notice by email or in-product. Changes take effect when posted or as stated in the notice, and continued use afterward constitutes acceptance.

17. General

16.1 Entire agreement. These Terms, the Privacy Policy, the Data Processing Agreement (where applicable), and any pricing terms are the entire agreement regarding the Service.

16.2 Severability. If any provision is unenforceable, the rest remain in effect.

16.3 Waiver. Failure to enforce a provision is not a waiver.

16.4 Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

16.5 Force majeure. Koarge is not liable for delays or failures caused by events beyond its reasonable control.

16.6 Relationship. The parties are independent contractors; these Terms create no partnership, agency, or employment relationship.

16.7 No third-party beneficiaries. There are no third-party beneficiaries to these Terms, including Your Customers.
